RAVENEAUX COUNTRY CLUB

BYLAWS

ARTICLE I

NAME: The association shall be known as the Men's Golf Association, Raveneaux Country Club, hereinafter referred to as the Association.

ARTICLE II

ORGANIZATION: The Bylaws of the Association shall be written to conform with the organizational structure of Raveneaux Country Club as described in the club Bylaws. Any amendments to the Bylaws of the Association shall be submitted to the club Board of Governors for approval prior to their adoption by the Association.

ARTICLE III

PURPOSE: It shall be the purpose of the Association to plan certain golf tournaments and related social affairs for it's members; offer constructive suggestions and recommendations to the club concerning matters of interest to the total golfing membership; and, in general, to indicate its existence to the proposition that maximum enjoyment of the Raveneaux Country Club facilities is attainable through the cooperative efforts of all.

ARTICLE IV

MEMBERSHIP: Membership shall be opened to all male primary dues paying Golf Members (not member’s dependants) of the Club.

ARTICLE V

DUES: An annual dues shall be established by the Board of Directors of the Association covering the calendar period from January 1 through December 31. Dues will be billed and collected directly by Raveneaux Country Club and credited in trust to the said Club’s Association account; and said annual dues will not be prorated for newly subscribing members of the Association. However, in order to encourage and increase paid membership in the Association, the Board of the Association upon a majority affirmative vote, may permit the proration of the annual membership dues for new Raveneaux Country Club members who join the Association subsequent to the first day of July of any given year.

ARTICLE VI

MEMBER PRIVILEGES: Only those members who are considered in good standing of the Association shall have the right to vote on matters which may come before the Association; or to hold an elected office of the Association or to serve on any committee of the Association; or to participate in any planned or sponsored event of the Association. The Board of the Association in special situations, and only by the majority consent of said Board, may elect to permit Raveneaux Country Club male members who are not currently paid members of the Association to participate in a Association sponsored tournament or social event.

ARTICLE VII

BOARD MEMBERS: The number of the members of the Board of the Association shall be not less than five (5) but not more than nine (9). Each Board Director elected shall be shall be for a three (3) year term. In order to promote and maintain continuity of the business and operational affairs of the Association, the serving terms of the Board shall be on a staggered format with one-third (1/3) of the board standing for election each election year.

Members of the Board of the Association shall be elected each year by written ballot, which shall be solicited from the entire membership of the Association. Those members of the Association who are not in good standing shall not be permitted to vote or participate in the balloting process of electing Board Members In the event any elected Board member is unable to complete his term of elected office, for any reason, prior to the next scheduled annual election time, then in that event, the majority of the remaining Board of the Association shall be entitled to appoint a member of the Association who is in “Good Standing” to serve and replace the withdrawn Board Member until the next annual election and he or his successor is elected and assumes the office.

ARTICLE VIII

OFFICERS: The officers of the Board of Association shall be elected by the majority vote of the members of the Board of the Association and shall be composed of the following offices.

The elected officers shall be:

President. The President shall preside at each meetings of the Association. The president shall also preside over all golf tournament and standing Committees.

Treasurer. The Treasurer shall maintain all of the financial records of the Association. In such capacity, he shall be authorized to establish bank accounts on behalf of the Association and perform all tasks associated with the administration and the maintenance of such accounts. The Treasurer shall collect and maintain all monies of the Association called for by the Board and shall disburse them as directed by the officers of the Association. He shall maintain the accounts and financial records of the Association, which shall be at all times open to the inspection of the officers of the Association. He shall make a report of the financial condition of the Association monthly, and a copy of each report shall be recorded in the records of the Association. The Treasurer shall send all notices either by mail, facsmile or electronic transmission (email) and conduct all correspondence relating to the financial matters of the Association.

ARTICLE IX

COMMITTEES: Six standing committees shall be established upon the adoption of these by laws. The Standing Committees are:

Handicap and Rules Committee
Tournament Committee
Membership Committee
Publicity and Nominating Committee
Finance Committee
Member-Guest Committee

1. Handicap and Rules Committee shall promote an educational program within the Association on golf rules, etiquette, and proper maintenance of handicaps. As recognized by the club, and it shall assist the Tournament Committee on matters relating to golf rules and handicap concerns.

2. The Tournament Committee shall have charge of all Association games and tournaments, prescribe such regulations as may be necessary for their proper conduct; and provide trophies and prizes thereto. It shall prepare the tournament calendar year and thereafter submit the schedule to the officers so that all individual tournament scores have equitable stroke control applied and be entered into the club handicap system.

3. The Membership Committee shall be elected by the members of the Board of the Association and shall have charge of encouraging and promoting membership in the Association and shall report to the Board and each meeting.

4. The Publicity and Nominating Committee will work and coordinate with the professional golf staff publicity of tournaments and events of interest to the Association. It will also be the responsibility of this committee to solicit and review qualified nominees for annual election of members to the association board.

5.The Member-Guest Committee shall be appointed by the president of the association and be comprised of an elected officer of the Association, as well as the chairmen of the Publicity Committee, Couples Committee, and Tournament Committee.

6. Finance Committee shall be composed of the Treasurer and such members of the Board as the President may appoint from time to time to assist in the financial affairs of the Association.

Each Standing Committee shall be elected by the Board of the Association each year at the January meeting of the Board. Any member of the Association who is considered to be in good standing may be elected to any of the aforementioned committees.

ARTICLE X

ELECTIONS: The annual election of members of the board of the Association shall be held between November 15 and December 31 of each calendar year at an annual election, on a date to be determined by the President of the Association. A written notice of the Annual election will be communicated via electronic transmission (email) or by posted public written notice in the golf pro shop and/or the bulletin board in the mens’ locker room, or by both, to or for each member of the Association who is considered to be in good standing, at least ten (10) days prior to the day of said election. Such notice of election shall include a copy of the written ballot together with proper and adequate voting instructions. the ballot is to include the names of at least two (2) candidates for each member to be elected. It shall also include the ability for a write-in candidate for each officer to be elected.

ARTICLE XI

MEETINGS: Regular meetings of the Board of the Association shall be held at least quarterly, but not more than once each month. The first regular meeting shall be held during the month of January. The President of the Association will determine the location, the date and the time of each regular meeting.

ARTICLE XII

QUORUM: A quorum of five (5) board members must be present in order for any regular business to be conducted at an Association meeting.

ARTICLE XIII

EXECUTIVE BOARD: The regular affairs of the Association shall be managed and administered by the Board which shall consist of its elected officers and each Standing Committee.

ARTICLE XIV

AGENDA: The agenda of each regular meeting of the Board shall comprise:

1. Ratification of any previous meeting pending issues.
2. Old Business
3. Reports from the Association Officers
4. Committee Reports.
5. New Business
6. Miscellaneous discussion.
7. Adjournment.

ARTICLE XV

AMENDMENTS: These Bylaws may be amended, modified or altered by the voting members of the Association at any regular meeting or special meeting called for that purpose; provided, however, that the statement of proposed modification, alteration or amendment shall have been approved by the Board of Governors of Raveneaux Country Club, and subsequently then posted on the bulletin boards at Raveneaux Country Club for at least ten (l0) days prior to the meeting.
